I don't have all my Flash gear installed, so without decompiling, are you using FLV simply for the video stream and using a separate audio stream object alongside it on the timeline? This can cause issues; really, audio to be perfectly synced with a video should be in the FLV itself, THEN added to the timeline. As far as a preloader, there's a thousand different ways to craft one, but the general principle is to put a stop() in frame 1, call your code (typically load-checking, and control of some kind of display object to reflect the amount loaded), followed by a branch which sends the playhead right back to frame 1 if not 100% loaded (otherwise proceed to frame 2 and get on with it). With that basic form, you can do just about anything you can imagine, including displaying frames of a movie clip or graphic symbol, or procedurally generated junk, changing tones or audio, or whatever. Just remember that any assets needed in the preloader have to be fully downloaded first, before they can be used, so Ideally they should be very small in size; generally 10's of KB so as not to be missed when preloading begins.
